About Urban Company IPO

Incorporated in December 2014, Urban Company is a technology-driven, full-stack online marketplace offering home and beauty services across 59 cities, including 48 in India, as well as others in the UAE, Singapore, and Saudi Arabia, as of December 31, 2024. Its platform enables consumers to book services such as cleaning, plumbing, electrical work, appliance repair, beauty treatments, and massage therapy, delivered by trained, background-verified professionals.

The company has also ventured into home solutions with the launch of water purifiers and electronic door locks under its brand ‘Native’. It supports service professionals with training, tools, financing, insurance, and branding, helping improve service quality and earning potential.

Urban Company is an online full-stack home and beauty services platform by net transaction value in the nine months ended December 2024. The Indian home services market, valued at USD 59.2 billion in 2024, is projected to reach USD 97.4 billion by 2029, despite online penetration remaining below 1%, indicating strong growth potential.

As of December 31, 2024, the company had an average of 48,169 monthly active service professionals, meaning each has delivered at least one service in a given month.

2. If we are unable to continue to provide a satisfactory experience to our consumers, our business and reputation may be materially and adversely affected.

3. We face intense competition from traditional offline players and due to low penetration of online services across the markets we serve, which may result in reduced demand for services on our platform or reduced number of service professionals signing up for our platform, resulting in a negative impact to our revenues and costs.

4. If we are unable to attract and retain service professionals on our platform, our platform will become less appealing.

5. Our business may suffer if we do not successfully manage our current and potential future growth, which may adversely impact our business and financial condition.

6. Consumers and service professionals may circumvent our platform and engage through other means, thereby adversely impacting our business financial condition and results of operations.

7. We have a limited operating history in some of our business lines such as our products under the Native brand, our InstaHelp offerings, small home project offerings, wall panel services for home decor and cleaning subscription services. A rapid evolution of our business model may make it difficult for investors to evaluate our business, results of operations and financial condition.

8. Our business depends on the strength of our brands including `Urban Company' and reputation, and any adverse impact on our reputation or brand may materially and adversely affect the growth of our business, financial condition, cash flows and results of operations.

We are exposed to many types of operational risk, including the risk of improper, harmful or otherwise inappropriate activity and oversight errors by employees, consumers, service professionals and third parties.
